Distance Sales Agreement

The distance sales agreement governing subscriptions and services purchased electronically through IAMX.

1. Parties

This Distance Sales Agreement (the "Agreement") is concluded electronically between the Seller identified below and the Buyer who purchases the Service, in accordance with Turkish Law No. 6502 on the Protection of the Consumer and the Regulation on Distance Contracts.

The natural or legal person whose name/title, address, e-mail and contact details are declared in the order form and account registration at the time of purchase. The Buyer confirms that this information is accurate and up to date.

2. Subject of the Agreement

The subject of this Agreement is the determination of the rights and obligations of the parties, in accordance with applicable law, with respect to the digital service (an IAMX platform subscription / usage package) that the Buyer orders electronically through iamxlive.com, the characteristics and sale price of which are set out below.

3. Service, Price and Payment

• Service: Access to the IAMX real-time conversational AI digital-human platform through a subscription / usage package (Free, Starter, Pro, Enterprise, or the package selected at the time of the order).
• Price and taxes: The current price of the selected package, including all applicable taxes, as displayed on the order page. Prices are those in effect at the time the order is placed.
• Payment method: Payments are collected securely through the iyzico infrastructure by credit / debit card (Visa, Mastercard, Troy). Card details are not stored by the Seller.
• Billing: Subscriptions renew automatically according to the selected billing period (monthly / annual); the Buyer may cancel renewal at any time from the panel.

4. General Provisions

• The Buyer confirms that it has read and electronically approved the preliminary information regarding the essential characteristics of the Service, the sale price, the payment method and delivery / performance.
• Where performance of the ordered Service becomes impossible, the Seller shall notify the Buyer and refund the amount collected.
• The Service is a cloud-based software service used with an IAMX account; use is governed by the Terms of Service, and processing of personal data by the Privacy Policy and the KVKK Notice.

5. Delivery / Performance

The Service is digital in nature. Following approval of the payment, access to the Service is provided immediately and electronically: the Buyer's IAMX account is upgraded to the relevant package and the corresponding features become active at once. 6. Right of Withdrawal and Its Exceptions

Under the Regulation on Distance Contracts, consumers generally have the right to withdraw within fourteen (14) days of the conclusion of the contract, without giving any reason and without paying any penalty.

However, for digital content and services supplied electronically and performed instantly, where performance has begun with the Buyer's approval, the right of withdrawal cannot be exercised pursuant to Article 15 of the Regulation. The Buyer accepts that access to the Service is provided immediately after payment and therefore falls within this exception. 7. Dispute Resolution

For disputes arising out of this Agreement, within the monetary limits announced by the Turkish Ministry of Trade, the Consumer Arbitration Committees and the Consumer Courts at the Buyer's place of residence or the place where the transaction was carried out shall have jurisdiction.

8. Entry into Force

When the Buyer confirms the order electronically, the Buyer is deemed to have read and accepted all terms of this Agreement. The Agreement enters into force upon confirmation of the order by the Seller.
